These Terms of Service govern your access to and use of Versaunt's websites, software, advertising tools, AI systems, integrations, analytics, generated creative, support, and related services.

Please read them carefully. By using the Services, creating an account, connecting an ad account, approving a campaign action, or otherwise accepting these Terms, you agree to this legally binding agreement.

1. Who may use the Services

You may use the Services only if you are at least 18 years old and able to form a binding contract. If you use the Services for a company, agency, client, or other organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for your account, credentials, workspace members, permissions, and all activity under your account. Keep login credentials, OAuth connections, API keys, and billing information accurate and secure.

2. What Versaunt provides

Versaunt provides software and related services for advertising strategy, creative generation, landing page support, analytics, reporting, and optimization across connected advertising and commerce platforms.

The Services may include AI-generated recommendations, automated or semi-automated campaign actions, creative drafts, account diagnostics, customer support, beta features, and integrations with third-party platforms such as Google, Meta, TikTok, Amazon, Stripe, Supabase, Vercel, PostHog, Google Cloud, and other infrastructure or advertising services.

3. Your advertising compliance responsibilities

Versaunt is a tool for marketers and business operators. It is not a law firm, broker, financial adviser, medical adviser, platform policy authority, or substitute for your own review. You are responsible for confirming that every landing page, audience, claim, offer, promotion, price, testimonial, disclosure, targeting choice, product feed, and ad creative is truthful, substantiated, authorized, and lawful before it is published or approved.

  • Do not use the Services to create deceptive ads, fake reviews, undisclosed endorsements, unlawful comparative claims, discriminatory targeting, or content that violates consumer protection, privacy, intellectual property, publicity, election, financial, healthcare, housing, employment, credit, or other regulated-industry rules.
  • You must comply with the terms and policies of each connected platform, including ad policies, data-use policies, audience rules, attribution rules, billing rules, and API terms.
  • You must maintain any consents, notices, opt-outs, records, licenses, substantiation, and approvals required for customer lists, pixels, conversion events, remarketing, lookalike or custom audiences, and other advertising or measurement uses.
  • You remain responsible for budgets, bids, spend, account settings, campaign status, and business outcomes, including when you ask Versaunt to recommend, schedule, or apply changes.

4. AI outputs and automated actions

AI systems can be inaccurate, incomplete, duplicative, offensive, non-compliant, or unsuitable for your business. You must review outputs before publishing, relying on, or using them in a campaign. Output may not be unique and similar output may be generated for other users.

If you enable autonomous or semi-autonomous workflows, you authorize Versaunt to read connected account data and take the actions you approve or configure within the Services. We may use guardrails, queues, confirmations, spending limits, and audit logs, but those controls do not transfer your responsibility for the accounts and campaigns you operate.

5. Your content and license to Versaunt

You retain ownership of content, data, prompts, URLs, product information, brand assets, creative references, customer data, campaign data, and other materials you submit to the Services. You grant Versaunt a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and create derivative works from that material solely to provide, secure, support, improve, and operate the Services.

You represent that you have all rights, permissions, notices, consents, and lawful bases needed to provide your content to Versaunt and to use resulting outputs. Do not upload confidential third-party materials, sensitive personal information, regulated data, or children's data unless you have a written agreement with us that expressly allows it.

6. Versaunt intellectual property

Versaunt and its licensors own the Services, software, workflows, designs, models, interfaces, documentation, trademarks, usage data, aggregated insights, and all related intellectual property. Except for the limited right to use the Services under these Terms, no rights are transferred to you.

You may not copy, resell, sublicense, reverse engineer, scrape, benchmark for competitive purposes, bypass technical limits, or use the Services to build a competing product or service unless we give written permission.

7. Prohibited uses

  • Illegal, harmful, fraudulent, deceptive, or abusive activity.
  • Uploading malware, probing systems, overloading infrastructure, or circumventing authentication, authorization, rate limits, usage limits, payment systems, or security controls.
  • Generating or publishing fake testimonials, fake reviews, synthetic endorsements that misrepresent a real person's experience, undisclosed sponsored content, impersonations, or content that infringes another person's rights.
  • Using sensitive traits or protected classes for unlawful targeting, exclusion, personalization, profiling, or ad delivery.
  • Submitting personal data that you cannot lawfully provide to us or to a connected advertising platform.
  • Using the Services for high-risk decisions about employment, housing, credit, insurance, healthcare, legal rights, eligibility for public benefits, or similar decisions.

8. Third-party services and integrations

The Services connect to third-party services that we do not control. Your use of those services is governed by their terms and policies, and their availability, rules, API limits, review decisions, reporting data, and enforcement actions may affect the Services.

Versaunt is not responsible for third-party account suspensions, policy rejections, data delays, billing events, outages, attribution changes, or API changes. You authorize Versaunt to access and process data from connected services as needed to provide the Services and as further described in our Privacy Policy.

9. Fees, subscriptions, and credits

Paid Services, subscriptions, usage-based fees, credits, setup fees, or managed-service fees are due as shown at checkout, in an order form, in the product, or in a separate written agreement. Unless expressly stated otherwise, fees are non-refundable, payable in U.S. dollars, and exclude taxes.

Credits may be consumed by generation, analysis, automation, storage, or other metered actions. We may suspend or limit access for failed payment, chargebacks, suspected fraud, excessive risk, or unpaid balances. You are responsible for all taxes, ad-platform charges, and third-party fees associated with your campaigns and connected accounts.

10. Confidentiality and feedback

Each party may receive non-public business, technical, product, security, financial, or customer information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the relationship under these Terms, except where disclosure is required by law or the information becomes public through no fault of the receiving party.

If you provide feedback, suggestions, or ideas, you grant Versaunt the right to use them without restriction or compensation.

11. Privacy and data protection

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. Where we process personal information on your behalf as a processor or service provider, additional data processing terms may apply through a signed order form, data processing addendum, or similar written agreement.

12. Service changes, beta features, and availability

We may add, change, suspend, or discontinue features. Beta, preview, experimental, or free features are provided for evaluation and may be modified or withdrawn at any time. We do not guarantee uninterrupted access, error-free operation, model availability, platform approval, campaign performance, revenue, return on ad spend, or any specific outcome.

13. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if we believe you violated these Terms, created legal or security risk, failed to pay, misused the Services, or used the Services in a way that could harm Versaunt, users, third parties, or connected platforms.

After termination, your right to use the Services ends, but provisions that by their nature should survive will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, dispute resolution, and any outstanding data protection obligations.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, and course of dealing.

Versaunt does not warrant that AI outputs, recommendations, forecasts, diagnostics, reports, creative, or campaign changes will be accurate, compliant, approved by platforms, free of third-party rights, or suitable for your business.

15. Limitation of liability

To the maximum extent permitted by law, Versaunt will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost goodwill, lost data, campaign spend, platform penalties, account suspension, business interruption, or cost of substitute services.

To the maximum extent permitted by law, Versaunt's total liability for all claims arising out of or related to the Services or these Terms will not exceed the greater of $100 or the amounts you paid to Versaunt for the Services giving rise to the claim during the six months before the event giving rise to liability.

16. Indemnification

You will defend, indemnify, and hold harmless Versaunt, its affiliates, and their directors, officers, employees, contractors, and agents from claims, damages, losses, liabilities, penalties, settlements, costs, and expenses, including reasonable attorneys' fees, arising from your content, ads, campaigns, products, services, customer data, connected accounts, violation of law or platform policy, breach of these Terms, or infringement or misappropriation of third-party rights.

17. Disputes, arbitration, and governing law

These Terms are governed by Georgia law, without regard to conflict of law rules. Before filing a claim, the parties will try in good faith to resolve the dispute by sending written notice describing the dispute and allowing 30 days for resolution.

Any dispute that cannot be resolved informally will be resolved by binding arbitration in Fulton County, Georgia, administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in court for misuse of intellectual property, confidential information, systems, or accounts. Claims must be brought individually, not as a class, consolidated, or representative action.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Services, email, or another reasonable method. Your continued use after the effective date of updated Terms means you accept the updated Terms.
